The Website Status:
· The beat will be permanently marked as SOLD on the website and disabled for future purchases. It will remain publicly playable on the site for marketing purposes to showcase the quality of the Mellow Momentum catalog.
Publishing Terms: Mellow Momentum legally retains 100% ownership of the original instrumental composition. The buyer agrees to register the final song listing Carl Adams (Mellow Momentum) as a 50% co-writer / publisher for all backend songwriting and performance royalties.
· Credit Requirements: On all licenses and commercial releases, sole production and engineering credit must be given to Carl "Mellow Momentum" Adams. The metadata and liner notes must be formatted and written exactly as follows:
Production Credit: "Produced by Mellow Momentum for On A Rise Productions"
Engineering Credit: "Recorded by Mellow Momentum at On A Rise Productions Studios, New York, N.Y."
ROYALTY, PUBLISHING, & CONTENT ID PROVISION
Publishing Split: The Producer (Carl Adams / Mellow Momentum Music®) hereby retains a 50% (fifty percent) ownership share in the underlying musical composition (the Writer’s Share). The Licensee (the Artist) explicitly agrees to register the completed song with their Performance Rights Organization (e.g., ASCAP, BMI) listing Carl Adams as a 50% co-writer.
Master Royalties: The Licensee retains 100% of the Artist/Master royalties up to the streaming limits defined in their specific non-exclusive lease tier.
Strict Content ID Ban: The Licensee is strictly PROHIBITED from registering the final track with any automated Content ID tracking system or digital fingerprinting service (including but not limited to YouTube Content ID, TikTok Music Protection, or Meta Rights Manager). Non-exclusive beats must remain completely open for all licensees. Violation of this clause will result in an immediate, automatic termination of this license, and the Licensee will be held liable for any financial damages caused to Mellow Momentum Music® and its other clients.
